Overview
This Regulation Best Interest Disclosure is provided to inform our retail customers about the brokerage services we offer and the nature of our relationship with you. Regulation Best Interest (“Reg BI”) establishes a standard of conduct applicable to broker-dealers and their associated persons when making recommendations of securities transactions or investment strategies involving securities to retail customers.
Pre-IPO Street is providing this disclosure in accordance with Reg BI and applicable SEC and FINRA requirements. This document describes material facts relating to the scope and terms of our brokerage relationship with you.
What Investment Services Does Pre-IPO Street Provide?
Pre-IPO Street provides agency brokerage services, including facilitating transactions in exempt securities offerings, primarily under Regulation D (including Rules 506(b) and 506(c)), and, where applicable, Regulation A and Regulation Crowdfunding offerings.
Securities offered through Pre-IPO Street are generally issued by companies for which we act as placement agent, managing dealer, or otherwise participate in the distribution. Pre-IPO Street does not offer a broad or diversified menu of investment products. Our platform is limited to offerings in which we participate, and the scope of available investments is therefore restricted.
All investments offered through Pre-IPO Street are speculative, illiquid, and involve a high degree of risk, including the potential loss of your entire investment.
Important Information Regarding Recommendations
Pre-IPO Street may, in limited circumstances, make recommendations regarding certain offerings when doing so is required to comply with Regulation Best Interest. When a recommendation is made, you are treated as a retail customer for Reg BI purposes.
- We do not provide ongoing investment advisory services or discretionary account management;
- We do not provide personalized advice based on your entire investment portfolio or financial circumstances; and
- We do not monitor investments after they are made, unless expressly agreed to in writing.
You are solely responsible for determining whether an investment is appropriate for your financial situation, objectives, and risk tolerance.
Regulation D Offerings
Pre-IPO Street may facilitate and, in limited circumstances, make recommendations regarding Regulation D offerings. These offerings are generally limited to accredited investors and involve private placements that carry heightened risk, limited liquidity, and reduced disclosure relative to publicly traded securities.
Regulation A Offerings
Where applicable, Pre-IPO Street may facilitate Regulation A offerings and may make recommendations consistent with Reg BI requirements. Any recommendation will be based on information you provide and subject to applicable conflict-mitigation standards described in this disclosure.
Regulation Crowdfunding Offerings
Where applicable, Pre-IPO Street may facilitate Regulation Crowdfunding offerings and may make recommendations when appropriate under Reg BI. Such offerings involve early-stage companies and carry substantial risk, including the potential loss of the entire investment.
Scope and Terms of Our Relationship
Our Capacity
Pre-IPO Street acts solely in a broker-dealer capacity. When we make a recommendation, it is made in our capacity as a broker-dealer and must be in your best interest, without placing our interests ahead of yours.
This disclosure supplements other materials you may receive, including our Form CRS, account agreements, and offering documents.
Material Fees and Costs That Apply to Your Transactions and Holdings
Fees charged in connection with offerings facilitated by Pre-IPO Street are typically paid by the issuer from offering proceeds. In certain offerings, investors may be charged transaction-based or convenience fees in addition to their investment amount. Any such fees will be disclosed in the applicable offering materials.
You will pay fees and costs regardless of whether your investment is profitable, and these fees will reduce your overall returns.
Types of Fees May Include:
- Placement or distribution fees paid by issuers;
- Transaction-based fees on secondary transactions (if applicable);
- Other fees disclosed in the relevant offering documents.
Pre-IPO Street does not require minimum account balances or charge inactivity fees.
You should carefully review all offering materials, including any Offering Circular, Offering Memorandum, Form C, or Private Placement Memorandum (“PPM”), before investing.
Service Scope, Material Limitations, and Investment Risks
Material Limitations
Pre-IPO Street’s services are limited to facilitating transactions in exempt offerings. These securities are typically illiquid, speculative, and not suitable for all investors. We do not offer diversification, portfolio rebalancing, or ongoing monitoring services.
You are responsible for reviewing and monitoring your investments and determining whether they remain appropriate for your circumstances.
General Investment Risks
All investments involve risk of financial loss. Exempt offerings involve heightened risk due to limited disclosure, lack of liquidity, and the early-stage nature of many issuers.
- Illiquidity and limited resale opportunities;
- Business and operational failure;
- Economic and market volatility;

- Potential substantial or complete loss of investment capital.
Securities offered through Pre-IPO Street are not bank deposits and are not insured or guaranteed by the FDIC or any government agency.
Conflicts of Interest
Pre-IPO Street has conflicts of interest arising from its compensation structure and business model. These conflicts may include:
- Receiving higher compensation when offerings are more successful;
- Compensation arrangements with issuers for distribution or administrative services; and
- Transaction-based compensation earned by financial professionals.
The existence of a conflict does not necessarily mean that your interests will be harmed. We are required to identify, disclose, and mitigate conflicts in accordance with Reg BI.
Financial Professional Compensation
Our financial professionals receive salary and may also receive bonuses or transaction-based compensation. In certain offerings, financial professionals may receive commissions. These compensation structures may create incentives to recommend certain investments.
Mitigation Strategies
Pre-IPO Street seeks to address conflicts of interest through policies and procedures, including:
- Training and supervising financial professionals to comply with Reg BI;
- Identifying and disclosing material conflicts of interest;
- Eliminating sales contests, quotas, or non-cash incentives tied to specific recommendations; and
- Maintaining written supervisory procedures designed to promote recommendations in customers’ best interests.
