PRE-IPO STREET INC. – TERMS OF USE
1. Platform; Scope of Service; Broker-Dealer Status; No Investment Advice
PRE-IPO STREET INC. (“Pre-IPO Street,” “we,” “us,” or “our”) operates an online technology platform (the “Platform” or “Site”) that allows prospective investors to access information regarding, and to subscribe for, certain securities offerings made available through the Site (the “Service”). By accessing the Site or using the Service in any manner, including through a mobile device, you become a user (“User”) and agree to these Terms of Use (the “Terms”).
Pre-IPO Street is a broker-dealer registered with the U.S. Securities and Exchange Commission (“SEC”) and a member of the Financial Industry Regulatory Authority (“FINRA”) and the Securities Investor Protection Corporation (“SIPC”).
NO INVESTMENT ADVICE OR RECOMMENDATIONS. The Platform is intended to enable Users to independently review and evaluate investment opportunities. Unless expressly stated otherwise in writing in a specific communication, Pre-IPO Street does not provide investment advice and does not recommend or endorse any security, issuer, offering, transaction, or investment strategy. Nothing on the Site should be interpreted as legal, tax, accounting, or investment advice.
Self-directed use. Your use of the Platform is self-directed. You are solely responsible for all investment decisions, orders, subscriptions, instructions, and any resulting transactions.
2. Acceptance of Terms; Privacy Policy; Platform Agreements
The Service is offered subject to your acceptance of all terms and conditions contained in these Terms, together with our Privacy Policy and any other operating rules, policies, and procedures posted on the Site (collectively, “Site Policies”), each of which is incorporated by reference and may be updated from time to time.
Certain features or services may require you to enter into additional agreements, disclosures, or acknowledgements (including account agreements, subscription agreements, escrow terms, or other documents) (each, a “Platform Agreement”). Your use of those features or services is subject to the applicable Platform Agreement(s), which are incorporated into these Terms by reference.
If there is a conflict between these Terms and any Platform Agreement you have accepted, the Platform Agreement will control with respect to the subject matter of that Platform Agreement.
3. Changes; Suspension; Termination
We may, at any time and in our sole discretion, modify or replace these Terms, change the Site or Service, suspend or discontinue any portion of the Site or Service, or impose limits on use. We may suspend or terminate your access to the Site or Service, with or without notice, to the extent permitted by law, including if we determine you have violated these Terms or any Site Policies.
Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution.
4. Eligibility
The Service is available only to individuals who are at least 18 years old and who can form legally binding contracts. By using the Service, you represent and warrant that you meet these requirements.
If you are using the Service on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.
5. Registration; Profile Information; Account Security
You may browse portions of the Site without registering. To access certain features (including investing), you must create an account (“Profile”) and provide complete, current, and accurate information. You agree to update your Profile information as necessary to keep it accurate.
You are responsible for safeguarding your login credentials and for activity that occurs under your Profile. You agree to notify us promptly of any unauthorized access or suspected breach of security. You may not transfer your Profile without our prior written consent.
6. Self-Directed Investing; No Fiduciary Relationship
You acknowledge and agree that your Profile and use of the Platform are self-directed and that you are solely responsible for evaluating offerings, making investment decisions, and determining suitability. The Site may provide information, content, or materials prepared by issuers or third parties; you should not interpret any such content as advice or a recommendation by Pre-IPO Street.
Your use of the Site and Service does not create a fiduciary relationship. You are responsible for conducting your own due diligence, including legal, tax, accounting, and financial review, and you are strongly encouraged to consult your own professional advisors.
7. Investor Requirements; Representations; Verification
Securities offerings made available through the Platform may be offered pursuant to exemptions from registration, including offerings under Regulation D, Regulation A, and other available exemptions. Some offerings may be limited to “accredited investors” (as defined in Rule 501 of Regulation D) and/or subject to investment limits or other eligibility requirements.
Before investing, you may be required to complete certifications and provide supporting documentation to verify eligibility. You represent and warrant that all information and documentation you provide is true, accurate, and complete.
8. Customer Identification Program; AML/KYC
To help the government fight money laundering and terrorist financing, federal law requires broker-dealers to obtain, verify, and record information that identifies customers. We may restrict, suspend, or terminate access if required verification cannot be completed.
9. Issuer Materials; No Verification; Escrow
Issuers are responsible for the content of their offering materials and for compliance with applicable securities laws. Pre-IPO Street does not guarantee that offering materials are complete, accurate, or non-misleading.
10. Investment Risks; No Assurance of Liquidity
Investments in exempt and private securities are speculative and involve significant risk, including the possible loss of your entire investment. Securities offered through the Platform are not bank deposits and are not insured by the FDIC or any other governmental agency.
11. User Conduct
You agree not to use the Site in violation of law, provide false information, interfere with Site functionality, or engage in improper solicitation.
12. Intellectual Property
All Site content, software, trademarks, logos, and other materials are owned by or licensed to Pre-IPO Street and protected by applicable intellectual property laws.

14. Communications; Electronic Delivery; Text Messaging
You consent to receive communications electronically and agree such communications satisfy legal notice requirements.
15. Disclaimers
THE SITE AND SERVICE ARE PROVIDED “AS IS.” We disclaim all warranties to the fullest extent permitted by law.
16. Limitation of Liability
To the fullest extent permitted by law, Pre-IPO Street will not be liable for indirect or consequential damages arising from your use of the Site or Service.
17. Third-Party Links
We are not responsible for third-party websites or services linked from the Site.
18. Governing Law
These Terms are governed by the laws of the State of New York.
19. Dispute Resolution; FINRA Arbitration; Class Action Waiver
Disputes will be resolved through FINRA arbitration where applicable. Class actions are waived to the fullest extent permitted by law.
20. Indemnification
You agree to indemnify and hold harmless Pre-IPO Street from claims arising from your use of the Site or violation of these Terms.
21. Severability; Assignment; Entire Agreement
If any provision is unenforceable, remaining provisions remain in effect.
