Pre-IPO Street Marketplace

Pre-IPO Street Marketplace (the “Marketplace”) is a website operated by Pre-IPO Street Inc. (“Pre-IPO Street”), a broker-dealer registered with the U.S. Securities and Exchange Commission and a member of the Financial Industry Regulatory Authority and the Securities Investor Protection Corporation.

Pre-IPO Street

Pre-IPO Street may act as a bulletin-board style platform that allows users to indicate interest in buying or selling securities of private companies, including companies that have previously completed exempt offerings. The Bulletin Board is intended to facilitate the communication of indicative interest between potential buyers and sellers and does not, by itself, effect or execute securities transactions.

All potential transactions initiated through the Bulletin Board are subject to further confirmation and additional contingencies, which may include issuer consent, transfer agent approval, satisfaction of transfer restrictions, and compliance with applicable securities laws. An expression of interest by one or more parties does not result in an executed trade and does not obligate any party to complete a transaction.

The Board is distinct from Pre-IPO Secondary. While Pre-IPO Secondary is an ATS that matches and executes orders on-platform, the Bulletin Board facilitates off-platform transaction discussions, and Pre-IPO Street may assist with coordination among issuers, transfer agents, and other required parties in connection with a potential transaction.

When used in connection with Marketplace activity, the term “Extended” refers to transactions initiated through the Bulletin Board and reflects that such transactions may involve longer timeframes and additional procedural steps compared to transactions executed on Pre-IPO Secondary.

Liquidity and Market Risk

Even if a security is made available for display on the Marketplace, there is no assurance that an active or liquid trading market will develop or be sustained. You should expect that securities may be illiquid and that you may not be able to sell, transfer, or otherwise dispose of your investment for an extended period of time, if at all. As with any speculative venture, Investors should be aware that they may sustain a significant or complete loss of their investment funds.
 
Securities displayed on the Marketplace should not be viewed as suitable collateral for borrowing or margin purposes.
